Law Clerk(s)

OVERVIEW
We’re looking for one or two part-time Law Clerks to support attorneys across both corporate and transactional projects and civil litigation. This role is ideal for a 3L, recent graduates awaiting bar results, or an early-career attorney seeking hands-on experience in a small-firm environment.
What You’ll Do
Research & Writing: Draft research memos, client advisories, and court-ready documents; Shepardize/cite-check; prepare tables of authorities.
Transactional Support: Assist with entity formations, foreign qualifications, corporate resolutions, basic equity/LLC documents, contract templates and revisions (NDAs, MSAs, service agreements, SAAs), due diligence checklists, employment agreements, and UCC filings.
Litigation Support: Draft/Revise/Proof pleadings, assist in the entire discovery process (form/special interrogatories, RFAs, RFPs), prepare subpoenas, meet-and-confer letters, and motion components; manage document review and perform deposition summaries; generally support trial prep.
Compensation
Commensurate with experience. Structured as an hourly part-time position (10-25hrs/week)

Jr. Transactional Attorney
1- 3 Yrs Legal Experience

We are seeking a seeking a highly motivated and detail-oriented junior transactions attorney to join our team. The ideal candidate will have experience in corporate transactions, a passion for helping small and growing businesses, and a strong commitment to tackling a wide range of projects across different types of matters.
This is a full-time position (35-40hrs/week) but can be structured for the right candidate as a part-time (15-20hrs/week) position
Qualifications
Drive / Motivation / Desire / Passion: all those things
Experience: At least a full year of experience in a legal setting, preferably in civil litigation, is advantageous. Experience with legal research, drafting shells, and working directly on discovery processes would be particularly valuable.
Technical Skills: Proficiency in using legal research platforms (such as Westlaw or LexisNexis) and familiarity with e-discovery software a plus but not required. Strong competence with Microsoft Office Suite, especially Word and Excel is essential.
Communication Skills: Excellent written and verbal communication skills are crucial for effectively drafting documents, corresponding with clients, and collaborating with the courts, opposing counsel, co-counsel, and our internal legal team.
Organizational Abilities: Ability to manage multiple tasks efficiently, prioritize workloads, and meet deadlines in a fast-paced environment. Strong attention to detail is required for organizing files, managing extensive documentation, and tracking case progress and deadlines.
Technology Comfort: Completely comfortable within the MAC Operating System, Adobe Pro, Microsoft Word, and Clio. Do you work best with dual monitors? Do you posses a sense of technological efficiency (this includes AI and eDiscovery tools)?
Dependability and Consistency: Dependable and consistent transportation to the Little Italy Neighborhood of Downtown (Trolley stop one block away). Live and work downtown?
Responsibilities
Support the managing attorney of securities and transactions on a wide range of projects including business formations, drafting and enforcing employment agreements, drafting and enforcing B2B agreements, private securities offerings and anything else our clients may be needing to start, grow and defend their businesses or enforce personal claims against another individual or business
Draft, review and amend LLC and Corporate formation documentation including Articles of Organization, Articles of Incorporation, Shareholder Agreements, Buy-Sell Agreements, Bylaws, Operating Agreements and Corporate Resolutions
Draft, review, and negotiate transaction-related documents, including purchase and sale agreements, asset and stock purchase agreements, and joint venture agreements.
Draft, review, and negotiate commercial lease agreements, vendor agreements, B2B agreements, and loan agreements
Support the managing attorney and clients with general intellectual property matters including but not limited to trademark filings, research and enforcement
Support the litigation team with drafting and reviewing settlement agreements and other dispute-related agreements including but not limited to service agreements, loan agreements and employment agreements
Compensation
Commensurate with experience. This is a "temp to hire" sort of position with the ideal candidate able to start off as part time (20-30 hrs/ week) and grow with our Firm into a full-time salaried position. Full time positions include PPO health insurance, dental, life, vision and retirement benefits as well as gym membership (FIT). All positions participate in quarterly and annual bonus structures.

Litigation Associate
3 - 5 Yrs Legal Experience

We are seeking an experience litigation attorney with a minimum of 3 years of relevant civil litigation experience to assist our small legal team manage both civil and business litigation matters from our Little Italy offices in San Diego, CA. The position will involve working directly with our small litigation team to support a growing caseload.
Qualifications
Juris Doctorate (JD) degree from an accredited law school
Active member in good standing with the California Bar
3+ years of direct experience in civil litigation
Existing Employment, Real Estate and/or Commercial Litigation Experience a plus
Must have strong research and writing skills and knowledge of California and Federal procedure
Ability to work both independently and collaboratively
Detail-oriented and self-organized
Strong oral and written communication skills
Enjoy legal research, motion work, the discovery process and the nuances of litigation
Ability to manage multiple types of cases and dynamic deadlines
Full competence with most types of motion work
Experience taking depositions is a plus but not necessary; physical trial experience a plus (but not necessary)
Basic competency with Westlaw; a passion for legal research a plus
Prefer the MAC operating systems rather than Windows (not required)
Dependable transportation to/from the Little Italy neighborhood of San Diego
Openness to work both in the Little Italy office and remotely, as based on weekly projects and support needed

Responsibilities
The right candidate will spend a majority of their time supporting the entire litigation process including initial case assessments and legal memos, drafting and reviewing initial complaints, drafting and responding to written discovery, aiding in trial preparation, assisting with all ongoing motion work, performing ongoing legal research, and providing general assistance to the firm’s three trial attorneys and two paralegals.
